Last Updated: October 1, 2026

Welcome to Cheval. These Terms & Conditions (“Terms”) govern your use of the Cheval website, your purchase and use of Cheval digital products and materials, and certain services offered by Cheval.

By accessing this website, purchasing a product, booking a service, or otherwise engaging Cheval, you acknowledge that you have read and agree to these Terms.

If you are purchasing or using Cheval products or services on behalf of a business or other organization, you represent that you have authority to accept these Terms on behalf of that organization.

1. ABOUT CHEVAL

Cheval provides human resources and people strategy resources, consulting, fractional HR/CHRO advisory services, executive and leadership coaching, Equus-based coaching experiences, workshops, retreats, and related services.

Certain consulting, coaching, workshop, or other professional engagements may be governed by a separate proposal, statement of work, engagement letter, waiver, or services agreement. Where a separately signed agreement conflicts with these Terms, the separately signed agreement will control with respect to that engagement.

Purchase of a Cheval digital product provides a license to use the product as described below. It does not transfer ownership of Cheval's intellectual property to the purchaser.

3. DIGITAL PRODUCT LICENSE

Unless otherwise stated at the time of purchase, your purchase grants the purchasing organization a limited, non-exclusive, non-transferable, revocable license to use and customize the purchased materials solely for its own internal business purposes.

You May

You may:

  • download and retain a copy of the purchased materials;

  • customize templates and documents for your organization's internal use;

  • reproduce customized documents as reasonably necessary for your organization's employees, managers, and business operations;

  • share relevant materials internally with employees and representatives who reasonably need access to them; and

  • use the materials to provide services to multiple clients without an appropriate Cheval consultant or commercial license.

Consultants, HR professionals, coaches, advisers, professional service firms, and similar providers who wish to use Cheval materials with their clients should contact Cheval regarding commercial or consultant licensing.

Unless otherwise specified, each purchase is licensed to one purchasing organization.

4. INTELLECTUAL PROPERTY

All original content made available through Cheval, including but not limited to its Playbooks, toolkits, templates, frameworks, methodologies, written materials, graphics, presentations, worksheets, assessments, branding, design elements, website content, and other proprietary materials, is owned by or licensed to Cheval and is protected by applicable intellectual property laws.

Except for the limited license expressly granted under these Terms, no ownership rights are transferred to the purchaser.

The purchaser retains ownership of its own company-specific information and original content added to or incorporated into customized Cheval templates.

5. HR AND EMPLOYMENT LAW DISCLAIMER

Cheval's HR products and resources provide general human resources, organizational, and business guidance only.

They do not constitute legal advice and should not be relied upon as a substitute for advice from qualified employment counsel.

Employment laws and regulations vary by federal, state, and local jurisdiction and change over time. The purchaser is responsible for determining which laws apply to its organization.

Before implementing policies, employment practices, agreements, handbook provisions, or other materials that may have legal implications, Cheval recommends that the purchaser have them reviewed by appropriately qualified employment counsel.

Cheval does not warrant that any template, policy, procedure, or other resource will comply with every federal, state, or local requirement applicable to a particular organization.

Customization and HR advisory support may be purchased separately from Cheval in accordance with Cheval's current fee schedule. Legal review, where required or advisable, remains the responsibility of the client.

6. CLIENT RESPONSIBILITY

Cheval provides tools, frameworks, advice, coaching, and recommendations intended to support informed business and leadership decisions.

You remain responsible for:

  • decisions made by you or your organization;

  • determining whether recommendations are appropriate for your circumstances;

  • implementation of HR practices and policies;

  • compliance with applicable laws and regulations;

  • obtaining legal, tax, accounting, medical, psychological, financial, or other regulated professional advice where appropriate; and

  • actions taken based upon Cheval products or services.

7. CONSULTING AND FRACTIONAL CHRO SERVICES

Cheval may provide consulting and advisory services including, but not limited to:

  • HR and People strategy;

  • organizational design;

  • HR infrastructure;

  • HR transformation;

  • mergers and acquisitions;

  • workforce planning;

  • leadership development;

  • culture and organizational effectiveness;

  • HR assessments;

  • fractional CHRO support; and

  • implementation assistance.

The specific scope, deliverables, fees, responsibilities, timing, confidentiality provisions, and other terms applicable to a consulting engagement may be set forth in a separate proposal, statement of work, or services agreement.

Unless expressly agreed in writing, Cheval does not act as the client's attorney, accountant, fiduciary, insurance adviser, or other regulated professional adviser.

8. COACHING SERVICES

Cheval may provide executive, leadership, career, team, and other coaching services.

Coaching is intended to facilitate reflection, learning, leadership development, professional growth, and action planning.

Coaching is not psychotherapy, mental health treatment, medical treatment, legal advice, or financial advice and should not be used as a substitute for appropriate professional services.

Clients remain responsible for their own decisions, actions, choices, and results.

Cheval does not guarantee any particular personal, professional, leadership, career, financial, or business outcome from coaching.

9. EQUUS COACHING, WORKSHOPS AND RETREATS

Certain Cheval services may involve experiential activities with or around horses.

Participation in Equus-based activities may be subject to additional terms, safety instructions, acknowledgements, releases, assumption-of-risk documentation, and/or waivers appropriate to the location and activity.

Participants must follow all safety instructions provided by Cheval and/or the applicable facility.

Participation may be declined, modified, or discontinued where Cheval reasonably believes doing so is appropriate for the safety of a participant, animal, facilitator, or other person.

The terms governing a particular Equus experience, workshop, retreat, or event may be provided separately.

10. PRICING AND PAYMENT

Prices for Cheval products and services are stated on the website, applicable sales page, proposal, or other written communication.

Prices may change from time to time. A price change will not retroactively change the price of a product already purchased or a service already contracted under an executed agreement unless otherwise provided in that agreement.

Applicable taxes, where required, may be added to the purchase price.

For consulting, coaching, workshops, retreats, and other services, payment schedules may be established in the applicable proposal, booking terms, or services agreement.

11. DIGITAL PRODUCT REFUNDS

Because Cheval digital products provide immediate access to proprietary downloadable content, digital product purchases are final and non-refundable once access or download has been provided, except where otherwise required by applicable law.

Please review the product description carefully before purchasing.

If you experience a technical problem accessing a purchased product, please contact Cheval so that reasonable assistance can be provided.

This policy does not limit any rights that cannot lawfully be waived.

12. CONSULTING AND COACHING CANCELLATIONS

Cancellation, rescheduling, deposits, retainers, refunds, and termination provisions applicable to consulting, coaching, workshops, retreats, or other services will be stated at booking or in the applicable proposal or services agreement.

Where no separate written cancellation policy applies, Cheval will communicate applicable cancellation or rescheduling terms before confirming a paid engagement.

13. RESULTS ARE NOT GUARANTEED

Examples, case studies, testimonials, scenarios, or descriptions of potential outcomes are provided for illustrative purposes only.

Individual and organizational results vary.

Cheval does not guarantee particular financial results, business performance, employee outcomes, organizational improvements, promotions, career outcomes, hiring outcomes, retention rates, leadership outcomes, or other specific results arising from use of Cheval products or services.

14. ACCURACY AND UPDATES

Cheval endeavors to provide useful and current materials but does not warrant that every resource will remain complete, current, or applicable to every organization or jurisdiction.

Laws, regulations, industry practices, technologies, and HR practices change.

Purchasers are responsible for confirming that materials remain appropriate before relying upon or implementing them.

Cheval may update its products from time to time but is not obligated to provide purchasers with future editions, updates, revisions, or replacement materials unless expressly included with the purchased product.

15. CONFIDENTIALITY

Cheval recognizes that consulting and coaching engagements may involve confidential business or personal information.

Specific confidentiality obligations applicable to professional services may be contained in the applicable services or coaching agreement.

Nothing in these website Terms should be interpreted as requiring a client to provide confidential, privileged, medical, or other sensitive information through an unsecured website form.

16. THIRD-PARTY SERVICES AND LINKS

The Cheval website or materials may refer or link to third-party websites, software, service providers, government resources, or other external resources.

Cheval does not control and is not responsible for third-party content, availability, security, accuracy, policies, or practices.

Reference to a third party does not necessarily constitute endorsement.

17. WEBSITE USE

You agree not to:

  • misuse the Cheval website;

  • attempt unauthorized access to the website or its systems;

  • interfere with website operation;

  • use automated systems to extract substantial portions of proprietary website content;

  • copy or commercially exploit protected Cheval content without authorization;

  • use the website for unlawful purposes; or

  • attempt to circumvent product access or licensing restrictions.

18. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Cheval and its owners, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of the website, digital products, consulting services, coaching services, workshops, or other Cheval offerings.

To the fullest extent permitted by applicable law, Cheval's aggregate liability arising from a digital product purchase will not exceed the amount paid to Cheval for the product giving rise to the claim.

Liability relating to consulting, coaching, workshops, retreats, or other separately contracted services may be governed by the applicable written services agreement.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

19. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Cheval and its owners, employees, contractors, representatives, and affiliates from third-party claims, liabilities, damages, and reasonable costs arising from your unauthorized use, reproduction, redistribution, resale, or commercial exploitation of Cheval materials, or your material violation of these Terms.

20. TERMINATION OF LICENSE

Cheval may terminate the license granted under these Terms if a purchaser materially violates the license restrictions, including through unauthorized resale, redistribution, publication, sublicensing, or commercial exploitation of Cheval intellectual property.

Termination does not affect any rights or remedies available to Cheval regarding prior unauthorized use.

21. GOVERNING LAW AND DISPUTES

These Terms and any dispute arising from them will be governed by the laws of the State of Georgia, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

Any provisions concerning jurisdiction, venue, mediation, arbitration, class-action waivers, jury-trial waivers, or dispute-resolution procedures should be reviewed and approved by Cheval's legal counsel before publication.

22. PRIVACY

Use of personal information collected through the Cheval website is governed by the Cheval Privacy Policy, which should be read together with these Terms.

23. CHANGES TO THESE TERMS

Cheval may update these Terms periodically to reflect changes in its products, services, business practices, or applicable requirements.

The current version will be posted on the Cheval website with an updated effective date.

Changes will apply prospectively unless otherwise permitted or required by law.

24. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

25. ENTIRE AGREEMENT

These Terms, together with any applicable product-specific terms, Privacy Policy, purchase terms, and separately executed service agreement, constitute the applicable agreement concerning use of the website and purchased products.

For consulting, coaching, workshop, retreat, or other separately contracted professional services, the applicable signed agreement or statement of work will control where it expressly differs from these website Terms.
